Vendor Subscription Terms

Effective Date: The date on which a Subscriber purchases or is granted access to a Vendor Subscription Product.

 

1.Introduction

These Default Vendor Subscription Terms (“Vendor Terms”) govern all Vendor Subscription Products offered through the VoxDash Platform by any Vendor who has not supplied its own standalone Subscriber Agreement or Subscription Terms.

By purchasing, accessing, or using a Vendor Subscription Product, the Subscriber agrees to be bound by these Vendor Terms, which form a binding agreement directly between the Vendor and the Subscriber. VoxDash is not a party to this agreement. The Vendor is an independent seller, and VoxDash does not act as the Vendor’s agent, advisor, reseller, guarantor, or representative for any purpose. VoxDash’s involvement is limited to providing the technical platform and processing payments on the Vendor’s behalf.

If a Vendor publishes its own custom terms, those terms will supersede these Vendor Terms for that Vendor’s Subscription Products.

 

2.Incorporation of VoxDash Platform Terms

The Subscriber acknowledges and agrees that the VoxDash Terms of Service, VoxDash Copyright Policy, VoxDash Artificial Intelligence (AI) Use Policy, and all user-facing responsibilities described in the VoxDash Privacy Policy (collectively, the “Platform Policies”) apply to all access to and use of any Vendor Subscription Product. The Platform Policies are incorporated into these Vendor Terms by reference and are binding conditions of accessing Vendor content through the VoxDash Platform.

By purchasing or accessing a Vendor Subscription Product, the Subscriber confirms acceptance of the Platform Policies, including all restrictions on data use, re-identification, redistribution, scraping, automated access, AI-enabled processing or model training, confidentiality, and licensing, as well as any obligations relating to the handling of personal information and account data.

In the event of any inconsistency between the Platform Policies and these Vendor Terms, the VoxDash Terms of Service govern platform-wide conduct, data-use restrictions, prohibited activities, and user responsibilities, while these Vendor Terms govern the commercial relationship between the Vendor and the Subscriber.

All obligations imposed on users under the Platform Policies are deemed obligations owed directly to the Vendor for the purposes of these Vendor Terms.

 

3.Subscription Scope

A Vendor Subscription Product provides Subscribers with the level of dataset access, download rights, update frequency, and analytical features described on the Vendor’s subscription listing page at the time of purchase.

All rights granted are non-exclusive, non-transferable, and for the Subscriber’s internal research, academic, or business use. No intellectual property rights are transferred.

 

4.Vendor Responsibilities

The Vendor is solely responsible for:

  1. The accuracy, completeness, licensing, and legality of all datasets and materials included in the Subscription Product.
  2. The timely delivery and maintenance of any promised updates or new releases.
  3. Ensuring that all subscription benefits described in the listing are fulfilled.
  4. Responding to Subscriber inquiries related to the Vendor Subscription Product.
  5. Compliance with all laws, licenses, and third-party rights relevant to the Vendor’s data.

VoxDash does not validate, audit, or guarantee any Vendor materials. The Vendor represents and warrants that it owns, controls, or has all necessary rights, licenses, permissions, and consents to provide all datasets and materials included in the Subscription Product, and that the Subscriber’s permitted use of those materials will not infringe any third-party rights. The Vendor agrees to defend and indemnify Subscribers and VoxDash from any claims arising from the Vendor’s data, content, or conduct in connection with the Subscription Product.

 

5.Subscriber Responsibilities

The Subscriber agrees to:

  1. Use Vendor datasets only as permitted by these Vendor Terms and the Vendor’s subscription description.
  2. Not redistribute, resell, relicense, publicly post, or bulk-download Vendor content unless explicitly allowed by the Vendor.
  3. Not attempt to identify, re-identify, or contact any survey respondent or individual represented in Vendor data.
  4. Maintain the confidentiality of any non-public Vendor materials.
  5. Ensure its authorized users comply with these Vendor Terms.

 

6.Refunds and Billing Disputes

All refund requests, cancellations, or billing disputes relating to a Vendor Subscription Product must be directed to the Vendor.

The Vendor is solely responsible for determining refund eligibility and processing any credits.

VoxDash has no responsibility for refund decisions, subscription accuracy, fulfillment, or disputes between the Vendor and Subscriber.

 

7.Termination

A Vendor Subscription Product may be terminated:

  1. By the Subscriber, according to the cancellation rules defined by the Vendor.
  2. By the Vendor, for any reason, including misuse or violation of these Vendor Terms.
  3. Automatically, if the Vendor’s account is suspended or removed from the VoxDash Platform.

Upon termination, the Subscriber must cease using all Vendor materials and delete any local copies unless retention rights were expressly granted.

 

8.Intellectual Property

All datasets, documentation, analyses, trademarks, and other materials included in the Vendor Subscription Product remain the sole property of the Vendor or its licensors.

The Subscriber receives only the limited rights described in the subscription listing and these Vendor Terms.

 

9.Data Licensing & Restrictions

Unless explicitly stated otherwise by the Vendor:

  1. Subscription datasets are for access, viewing, and analysis through the VoxDash Platform.
  2. External redistribution, scraping, downloading, or automated harvesting is prohibited.
  3. Derived analyses created by the Subscriber (charts, tables, summaries) may be used internally but may not include raw Vendor data unless the Vendor expressly permits it.

 

10.No Warranties

Vendor Subscription Products are provided as-is.
The Vendor does not provide any warranty regarding:

• accuracy or completeness of data
• expected insights or research outcomes
• availability, uptime, or update frequency
• fitness for a particular purpose

The Subscriber assumes all risk associated with the use of Vendor materials.

 

11.Limitation of Liability

To the maximum extent permitted by law:

  1. The Vendor’s total liability to the Subscriber shall not exceed the total subscription fees paid for the most recent twelve-month period.
  2. The Vendor shall not be liable for indirect, consequential, punitive, exemplary, or special damages.
  3. VoxDash shall have no liability whatsoever arising from or relating to any Vendor Subscription Product.

 

12.Dispute Resolution

Any dispute between the Vendor and the Subscriber must be resolved exclusively between those parties. VoxDash is not responsible for mediating, resolving, or participating in such disputes.

 

13.Tax Responsibilities

The Vendor is solely responsible for all applicable taxes associated with its Subscription Products. VoxDash does not provide tax advice and does not calculate, collect, or remit taxes on behalf of Vendors unless required by law.

 

14.Modification of Terms

Vendors may update their subscription offerings or adopt their own custom Subscriber Agreement at any time. Updated terms apply only to new subscriptions unless the Vendor states otherwise.

 

15.Relationship Between the Parties

Nothing in these Vendor Terms creates a partnership, joint venture, agency relationship, employment relationship, or fiduciary duty between the Vendor and the Subscriber, or between either of them and VoxDash.

 

16.Governing Law

Unless the Vendor specifies otherwise, these Vendor Terms are governed by the laws of the Vendor’s principal place of business, without regard to conflict-of-law rules.
